Independent Contractor Agreement (Driver)
Between EZDorr (“Company”) and [Driver Name] (“Contractor”)
1. Independent Contractor Relationship
- Contractor acknowledges they are engaged as an independent contractor, not as an employee, agent, or partner of EZDorr.
- Contractor is free to determine how services are performed, provided they meet the Company’s customer service standards.
- Contractor is not entitled to Company benefits (health insurance, paid leave, retirement, etc.).
2. Services Provided
- Contractor agrees to provide delivery services using their own vehicle.
- Services include:
- Picking up and delivering items to customers on time.
- Handling packages with care.
- Communicating with customers professionally.
- Picking up and delivering items to customers on time.
- Contractor is responsible for route planning, unless otherwise directed by EZDorr.
- Contractor may accept or decline delivery offers.
3. Equipment & Vehicle
- Contractor must supply a reliable vehicle, smartphone with data access, and any other equipment necessary.
- Contractor is solely responsible for fuel, tolls, parking, repairs, maintenance, and licensing fees.
- Contractor must maintain their vehicle in safe working condition.
4. Compensation
- Contractor will be paid per completed delivery, based on rates communicated through the EZDorr platform.
- EZDorr will issue payments on a [weekly/bi-weekly] basis via the Company’s payment system.
- Contractor is solely responsible for all taxes (federal, state, and local).
- EZDorr does not withhold payroll taxes, Social Security, Medicare, or unemployment insurance.
5. Insurance & Licenses
- Contractor must maintain at all times:
- A valid driver’s license.
- Current auto insurance meeting state minimum requirements.
- Vehicle registration and inspection (if required by law).
- A valid driver’s license.
- Contractor is responsible for reporting any suspension, expiration, or cancellation of their license or insurance immediately to EZDorr.
6. Compliance with Laws
- Contractor agrees to obey all traffic laws, safety regulations, and applicable delivery laws.
- Contractor must pass a background check and/or motor vehicle record check as required by EZDorr.
- Contractor shall not engage in illegal activity while providing services.
7. Confidentiality & Data Protection
- Contractor may have access to confidential information, including customer addresses, phone numbers, order details, and Company business practices.
- Contractor agrees not to disclose or misuse this information for any purpose outside of EZDorr deliveries.
- This obligation survives termination of the Agreement.
8. Non-Solicitation
- During the term of this Agreement and for six (9) months after termination, Contractor may not solicit EZDorr customers for delivery services outside the platform.
9. Indemnification & Liability
- Contractor agrees to defend, indemnify, and hold harmless EZDorr, its employees, and customers from any claims, damages, losses, or expenses caused by Contractor’s actions.
- Contractor assumes all risk of operating their vehicle, including accidents, property damage, or injury.
10. Term & Termination
- This Agreement begins on the date signed and continues until terminated.
- Either party may terminate this Agreement at any time, with or without cause, upon written notice.
- EZDorr may immediately suspend or terminate the Agreement if Contractor violates laws, Company policies, or customer service standards.
11. Dispute Resolution
- Any disputes arising out of this Agreement will first be attempted to resolve through good faith negotiation.
- If unresolved, disputes will be settled by binding arbitration in the state where Contractor primarily provides services.
- Each party will bear its own legal costs.
12. Governing Law
- This Agreement is governed by the laws of the state in which Contractor primarily performs services.
13. Entire Agreement
- This document represents the entire agreement between Contractor and EZDorr, and supersedes all prior discussions.
- No amendment is valid unless in writing and signed by both parties.
